Vendor Terms
These Vendor Terms & Conditions govern the relationship between **ReplyXAPI** and its vendors, partners, resellers, contractors, and third-party service providers (“Vendor”). By working with ReplyXAPI, the Vendor agrees to the following terms.

The Vendor agrees to provide agreed services/products including but not limited to:

* Technical integration support
* Hosting / CRM / software tools
* Marketing or automation support
* Any other mutually agreed service
All services must meet the quality standards agreed at the time of onboarding.

2. Compliance & Legal Responsibility
The Vendor agrees to:
* Follow all applicable local and international laws.
* Comply with WhatsApp Business policies and platform guidelines.
* Not engage in spam, illegal marketing, or misleading communication.
* Maintain valid licenses, approvals, and certifications (if required).
Any violation may result in immediate termination of partnership.

3. Confidentiality
The Vendor must keep confidential:
* Client data
* Business strategies
* API credentials
* Pricing models
* Internal systems & processes
Confidential information must not be shared, sold, or disclosed without written permission from ReplyXAPI.

4. Data Protection
Vendors handling customer or business data must:
* Use data strictly for service-related purposes
* Implement reasonable security measures
* Avoid unauthorized sharing or storage
* Immediately report any data breach
Vendor will be fully responsible for any data misuse caused by their negligence.

5. Payment Terms
* Payments will be made as per mutually agreed contract or invoice.
* Vendor must raise proper invoice with clear breakdown.
* Delays caused due to incomplete delivery or policy violations may affect payments.
* Taxes are vendor’s responsibility unless otherwise agreed.

6. Non-Compete & Non-Circumvention
Vendor agrees not to:
* Directly approach or solicit ReplyXAPI clients without permission.
* Copy, resell, or misuse ReplyXAPI systems or automation frameworks.
* Represent themselves as owner or official authority of ReplyXAPI.
Breach may result in legal action.

7. Service Quality & Performance
Vendor must ensure:
* Timely delivery
* Professional communication
* Proper documentation
* Technical reliability
Repeated poor performance may result in termination of partnership.

8. Termination
ReplyXAPI reserves the right to terminate vendor agreement if:
* Terms are violated
* Confidentiality is breached
* Fraud or misconduct is detected
* Service standards are not maintained
Termination may be immediate without prior notice in serious cases.

9. Intellectual Property
All systems, automation flows, brand materials, and documentation shared by ReplyXAPI remain its intellectual property.
Vendor cannot reuse or distribute materials without written approval.

10. Limitation of Liability
ReplyXAPI will not be liable for:
* Vendor operational losses
* Indirect damages
* Third-party penalties caused by vendor actions
Vendor is responsible for their own compliance and operational risks.
